Terms of Service

1. Introduction & Acceptance

These Terms of Service ("Terms") govern your use of the Reprog application and website operated by Vis.Works Media Inc. ("Vis.Works", "we", "our", "us"), doing business as Reprog.

By accessing or using Reprog, you agree to be bound by these Terms. If you do not agree, do not use the service. You must be at least 16 years old to use Reprog.

2. Description of Service

Reprog is a voice AI tool for goal exploration and clarity. The service includes goal setting, memory exercises, and voice conversations with AI. It is available via our mobile application and web interface.

3. Accounts

An account is required to access core features. When you create an account, you agree to:

  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Accept responsibility for all activity under your account
  • Maintain only one account per person

We may suspend or terminate accounts that violate these Terms.

4. Token System & Payments

a) Tokens

Reprog operates on a token-based system. Tokens are consumed during AI voice sessions based on usage. New accounts receive a one-time signup bonus of tokens. Additional tokens are available for purchase.

b) Purchases

  • All purchases are processed by Stripe
  • All purchases are final — no refunds
  • Tokens are non-transferable
  • Prices may change at any time; existing token balances are not affected by price changes

c) Minimum Balance

A minimum token balance is required to start a voice session. Sessions may end automatically if your token balance is depleted during use.

d) Token Adjustments

We reserve the right to adjust token balances in cases of fraud, abuse, or technical errors. Abuse of free signup bonuses (such as creating multiple accounts) may result in token removal and account suspension.

5. Acceptable Use

You agree NOT to:

  • Use the service for any illegal purpose
  • Attempt to access other users' data or accounts
  • Reverse-engineer, decompile, or extract source code
  • Circumvent rate limits or security measures
  • Create multiple accounts to abuse free tokens
  • Use the service to harm, harass, or exploit others
  • Transmit malware or interfere with service operations
  • Use the service to generate content that violates applicable law

6. AI Disclaimer

Reprog uses artificial intelligence (powered by OpenAI) to generate responses during voice sessions. You acknowledge and agree that:

  • AI output is not professional advice — it is not medical, psychological, financial, or legal counsel
  • AI may produce inaccurate, incomplete, or inappropriate responses
  • You are solely responsible for decisions made based on AI interactions
  • You should always consult qualified professionals for important decisions
  • We do not guarantee specific outcomes from using the service

7. Intellectual Property

Reprog's code, design, and branding are the property of Vis.Works Media Inc. and are protected by applicable intellectual property laws.

  • You retain ownership of the content you create (goals, memories, text input)
  • You grant us a limited license to store and process your content solely to provide the service
  • AI-generated responses are provided for your personal use
  • You may not use our trademarks or branding without written permission

8. Privacy

Your use of Reprog is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.

9. Limitation of Liability

The service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by applicable law:

  • Our total liability is capped at the amount you paid us in the 12 months preceding the claim, or CAD $100, whichever is greater
  • We are not liable for indirect, incidental, special, consequential, or punitive damages
  • We are not liable for loss of data, profits, or goodwill

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such cases, these limitations apply to the fullest extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Vis.Works Media Inc., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising from your use of the service, your violation of these Terms, or your infringement of any third-party rights.

11. Dispute Resolution & Arbitration

a) Informal Resolution First

Before initiating formal proceedings, you agree to contact us at hello@reprog.me to attempt to resolve the dispute informally. We will work with you in good faith for a period of 30 days.

b) Binding Arbitration

If informal resolution is unsuccessful, any dispute shall be resolved by binding individual arbitration. Arbitration will be conducted under the rules of the ADR Institute of Canada (or JAMS if you are a US resident). Arbitration will be conducted in English. The arbitrator's decision is final and binding.

c) Class Action Waiver

You waive any right to participate in class actions or class arbitrations. All claims must be brought in your individual capacity only.

d) Exceptions

Either party may bring claims in small claims court if eligible. Either party may seek injunctive relief in court for intellectual property infringement.

12. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles, subject to the arbitration clause above.

13. Termination

  • You may stop using the service and request account deletion at any time
  • We may suspend or terminate your account for violations of these Terms
  • Upon termination, your access is revoked and unused tokens are forfeited with no refund

The following sections survive termination: AI Disclaimer, Limitation of Liability, Indemnification, Dispute Resolution & Arbitration, and Governing Law.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Vis.Works Media Inc. regarding your use of Reprog, and supersede all prior agreements and understandings.

16. Changes to Terms

We may modify these Terms from time to time. Material changes will be communicated via email or in-app notice. Your continued use of the service after the notice period constitutes acceptance of the updated Terms.
